Terms of service
Last updated 20 October 2026
Please read these terms and conditions carefully before using Our Service. They are the agreement between Stetica, Inc. and the Practice that uses it.

Acknowledgment
These are the Terms and Conditions governing the use of this Service and the agreement between You and the Company. These Terms and Conditions set out the rights and obligations of all users regarding the use of the Service.
Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, users and others who access or use the Service.
By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions then You may not access the Service.
You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.
Your access to and use of the Service is also subject to Our Privacy Policy, which describes how We collect, use, and disclose personal information, to the Data Processing Addendum, and, where You are a covered entity under HIPAA, to the Business Associate Agreement. Those documents are part of these Terms. If they conflict with these Terms about personal data or protected health information, the BAA prevails, then the DPA, then these Terms.
The Practice and its staff
The Practice is the party to these Terms. The person who opens the Account confirms that she has authority to bind the Practice.
A Practice signs its own staff in as Authorized Users and decides what each may see and do. The Practice is responsible for everything its Authorized Users do in the Service, for keeping their access current, and for removing a person who leaves. An Authorized User may use the Service only for the Practice that signed her in.
A Practice that rents a room or a machine at another Practice, and a Practice that lets its rooms to a renter, each hold their own Account and their own Practice Data. The host sees only what a booking needs — the time and the room — and never the renter’s Client or her record. The terms of the rental itself are between the two Practices, and We are not a party to them.
Subscriptions
Subscription period
The Service or some parts of the Service are available only with a paid Subscription. You will be billed in advance on a recurring and periodic basis (such as monthly or annually), depending on the type of Subscription plan you select when purchasing the Subscription.
At the end of each period, Your Subscription will automatically renew under the exact same conditions unless You cancel it or the Company cancels it.
Subscription cancellations
You may cancel Your Subscription renewal either through Your Account settings page or by contacting the Company. You will not receive a refund for the fees You already paid for Your current Subscription period and You will be able to access the Service until the end of Your current Subscription period. After that, the Termination section says what happens to Your Practice Data.
Billing
You shall provide the Company with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method. Payment is taken by Stripe, Our payment processor; We do not hold Your card details.
Should automatic billing fail to occur for any reason, the Company will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.
Fees exclude taxes. You are responsible for any sales, use or similar tax on the Subscription, other than tax on Our income.
Fee changes
The Company, in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Subscription period.
The Company will provide You with at least 30 days’ prior notice of any change in Subscription fees to give You an opportunity to terminate Your Subscription before such change becomes effective.
Your continued use of the Service after the Subscription fee change comes into effect constitutes Your agreement to pay the modified Subscription fee amount.
Refunds
Except when required by law, paid Subscription fees are non-refundable.
Certain refund requests for Subscriptions may be considered by the Company on a case-by-case basis and granted at the sole discretion of the Company.
Free Trial
The Company may, at its sole discretion, offer a Subscription with a Free Trial for a limited period of time.
You may be required to enter Your billing information in order to sign up for the Free Trial.
If You do enter Your billing information when signing up for a Free Trial, You will not be charged by the Company until the Free Trial has expired. On the last day of the Free Trial period, unless You canceled Your Subscription, You will be automatically charged the applicable Subscription fees for the type of Subscription You have selected.
At any time and without notice, the Company reserves the right to (i) modify the terms and conditions of the Free Trial offer, or (ii) cancel such Free Trial offer. These Terms, the DPA and the BAA apply during a Free Trial exactly as they do to a paid Subscription.
User Accounts
When You create an Account with Us, You must provide Us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in termination of Your Account on Our Service.
Sign-in is handled by a dedicated identity provider. You are responsible for safeguarding the credentials that You and Your Authorized Users use to access the Service and for any activities or actions under them. You agree not to share a sign-in between people. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your Account.
You may not use as a Practice name the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than You without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.
The Practice’s data
You own it
As between You and the Company, You own Practice Data. The Company claims no right in it beyond the licence below.
What We may do with it
You grant Us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, transmit and display Practice Data, and to send Messages containing it, solely to provide, secure, support and improve the Service for You, and as the DPA and BAA allow. We do not publicly display Practice Data, We do not make it available to any other Practice except as the The Practice and its staff section describes for a booking, and We do not use Client records, photographs or Messages to train artificial-intelligence models. We may use aggregate or de-identified information that cannot reasonably be linked to a person or a Practice to improve and describe the Service.
Your warranties about it
You represent and warrant that: (i) You have the right to enter Practice Data into the Service and to grant Us the licence above; (ii) You have obtained every notice, consent and authorization the law requires from Your Clients and Your staff for the Practice Data You enter and the Messages You send; and (iii) the Practice Data and Your use of the Service do not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.
Backups and export
We back up Practice Data regularly, and You may export it at any time from the Application or by asking Us. Although regular backups are performed, the Company does not guarantee there will be no loss or corruption of data, and the Company will provide support and attempt to troubleshoot any known or discovered issues that may affect backups. You remain responsible for keeping Your clinical records for as long as the law that applies to Your Practice requires, and the export is how You do so after Your Account ends.
Health information and the Business Associate Agreement
If You are a covered entity under HIPAA, You must sign the Business Associate Agreement before entering protected health information into the Service, and the Service may require it before it lets You add a Client. Under the BAA, We use and disclose protected health information only to provide the Service to You, as You permit, or as the law requires; We apply the safeguards in the HIPAA Security Rule; We report breaches to You without unreasonable delay; and We return or destroy protected health information when the agreement ends, except where the law requires it to be kept.
If You are not a covered entity, We treat Your Clients’ Health Information with the same care, and the DPA governs it.
You remain responsible for Your own notice of privacy practices, for the consents and authorizations You obtain from Your Clients, and for the access You give Your Authorized Users.
The Practice’s responsibilities
The Service is practice-management software. It is not a medical device, it does not give medical advice, and it does not make clinical decisions. You are responsible for:
- holding every licence, registration and insurance the law requires for the treatments You perform and the people who perform them;
- every clinical decision, including whether to treat, how, and with what settings, and for checking any figure or record the Service shows You before relying on it;
- obtaining informed consent from Your Clients in the form the law requires, and deciding whether a consent signed online through the Service is sufficient for a given treatment in Your jurisdiction;
- complying with the laws that apply to Your Practice, including those on health information, record retention, consumer protection, telephone and text messaging, and the treatment of minors; and
- the accuracy of the prices, hours, services and other details You publish through the Service.
Messages to Clients
You may send Messages to Your Clients through the Service on these conditions:
- You send a text message only to a Client who has agreed to receive texts from You, and You record that agreement in the Application before the first text. The Service will not text a number without that record.
- Messages are transactional only: appointment confirmations and reminders, links to consent and intake forms, and replies about them. You do not send marketing or promotional Messages through the Service.
- You honour a Client’s STOP at once. The Service records it and stops texting the number, and You do not re-enable texts without her asking.
- You are the sender of each Message for the purposes of the Telephone Consumer Protection Act, the CAN-SPAM Act and similar laws, and You are responsible for complying with them. We are Your service provider.
- We may pause or limit sending from Your Account if a carrier, a regulator or a pattern of complaints requires it, and We tell You when We do.
The text message terms and how clients agree to texts describe the program to Your Clients and to the carriers.
Payments between a Practice and its Clients
The Service lets You take payment from Your Clients for appointments, treatments, products and other things You sell, in person or online. When it does, these conditions apply:
- You are the seller. Every sale through the Service is between You and Your Client. You set the prices, You provide the treatment or the product, and You are responsible for its quality, for the description Your Client relies on, for any refund, return or dispute, and for any sales tax or similar tax on it. We are not a party to the sale and We do not sell anything to Your Clients.
- Stripe moves the money. Payments are processed by Stripe through a Stripe account connected to Your Practice. By taking payment through the Service You agree to the Stripe Connected Account Agreement, including the Stripe Services Agreement, and You give Us the information Stripe needs to open and verify the account. Stripe pays Your money out to You on its schedule. We do not hold Your Clients’ funds, and We are not a bank or a money transmitter.
- No fee from Us on the sale. Taking payment is part of Your Subscription. We charge no fee of Our own on a sale to a Client. Stripe charges its processing fee on each payment, as its agreement with You states, and it is deducted before Stripe pays You out.
- Refunds and chargebacks. You issue refunds through the Service. If a Client disputes a payment with her bank, the disputed amount, Stripe’s dispute fee and any resulting negative balance are Yours, and You authorise Stripe to recover them from Your connected account or Your payment method on file. We help You respond to a dispute with the records the Service holds, and We do not decide its outcome.
- Packages, deposits and gift cards. If You sell treatment packages, prepaid sessions, deposits or gift cards through the Service, the obligation to deliver them, to refund them, and to comply with the laws that govern them, including unclaimed property law, is Yours. The Service records them for You; it does not underwrite them.
- Card data.Card details are entered into Stripe’s fields and never pass through Our servers. You do not record a Client’s full card number anywhere in the Service.
- Your Clients’ terms. When a Client pays online, the page shows her short terms that say she is buying from You, and that Stripe processes the payment. You may add Your own cancellation and refund policy to Your Practice settings, and the Service shows it to her before she pays.
- Compliance. You will not use the Service to take payment for anything Stripe prohibits or the law forbids, and We may suspend payments through Your Account if Stripe, a card network or the law requires it.
The assistant
The Application includes an assistant that helps You set up and run Your Practice by asking for things in plain words. It can see only what the Authorized User using it may see, and it does not change a record without her confirming the action. Its answers are produced by a language model and may be wrong; they are not clinical, legal or financial advice, and You check them before acting on them. What You type to it and the Practice Data it needs to answer are sent to Our model provider under terms that forbid training on them, as Our Privacy Policy describes.
Acceptable use
You are responsible for the Content You and Your Authorized Users enter, including its legality, reliability, and appropriateness, and for all activity that occurs under Your Account. You may not use the Service to:
- break the law, or enter Content that is unlawful, defamatory or infringing;
- enter Content containing viruses, malware or other code designed to disrupt, damage or gain unauthorized access to any system or data;
- impersonate any person or entity, including the Company;
- access another Practice’s data, or probe, scan or test the security of the Service without Our written permission;
- copy, resell, sublicense or make the Service available to anyone outside Your Practice, or build a competing product from it; or
- send Messages that are unsolicited, deceptive, or sent without the consent the law requires.
The Company reserves the right, but not the obligation, to remove Content that breaches these Terms and to limit or suspend an Account that does, after notice where the law and the circumstances allow it.
Copyright policy
Intellectual property infringement
We respect the intellectual property rights of others. It is Our policy to respond to any claim that Content posted on the Service infringes a copyright or other intellectual property infringement of any person.
If You are a copyright owner, or authorized on behalf of one, and You believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Service, You must submit Your notice in writing to the attention of Our copyright agent via email at legal@stetica.ai and include in Your notice a detailed description of the alleged infringement.
You may be held accountable for damages (including costs and attorneys’ fees) for misrepresenting that any Content is infringing Your copyright.
DMCA notice and DMCA procedure for copyright infringement claims
You may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing Our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):
- An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright’s interest.
- A description of the copyrighted work that You claim has been infringed, including the URL (i.e., web page address) of the location where the copyrighted work exists or a copy of the copyrighted work.
- Identification of the URL or other specific location on the Service where the material that You claim is infringing is located.
- Your address, telephone number, and email address.
- A statement by You that You have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
- A statement by You, made under penalty of perjury, that the above information in Your notice is accurate and that You are the copyright owner or authorized to act on the copyright owner’s behalf.
You can contact Our copyright agent via email at legal@stetica.ai. Upon receipt of a notification, the Company will take whatever action, in its sole discretion, it deems appropriate, including removal of the challenged content from the Service.
Intellectual property
The Service and its original content (excluding Content provided by You or other users), features and functionality are and will remain the exclusive property of the Company and its licensors.
The Service is protected by copyright, trademark, and other laws of both the Country/State and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of the Company.
Your Feedback to Us
You assign all rights, title and interest in any Feedback You provide the Company. If for any reason such assignment is ineffective, You agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty free, worldwide right and license to use, reproduce, disclose, sub-license, distribute, modify and exploit such Feedback without restriction. Feedback never includes Practice Data.
Confidentiality
Each party will keep confidential the other’s non-public information that it learns through the Service or these Terms — for You, that includes Our pricing, roadmap and unreleased features; for Us, it includes Practice Data and Your business information — and will use it only for the purposes of these Terms. This does not apply to information that is or becomes public without fault, that the receiving party already had, or that it must disclose by law, in which case it tells the other party first where it may. This section survives termination.
Links to other websites
Our Service may contain links to third-party websites or services that are not owned or controlled by the Company.
The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such websites or services.
We strongly advise You to read the terms and conditions and privacy policies of any third-party websites or services that You visit.
Termination
By You. You may end Your Subscription at any time as the Subscriptions section describes, and close Your Account by contacting Us.
By Us, for breach. We may suspend or terminate Your Account if You breach these Terms and do not cure the breach within 30 days of Our written notice, or at once and without notice where the breach is a threat to the security of the Service, to other Practices or to Clients, or where the law requires it.
By Us, for convenience. We may terminate Your Subscription for convenience on at least 90 days’ written notice. If We do, We will refund any prepaid fees covering the remainder of the term of the Subscription after the effective date of termination. In no event will any termination relieve You of the obligation to pay any fees payable to Us for the period prior to the effective date of termination.
Your data afterwards. For 60 days after Your Account ends You may export Practice Data, and We will help You do so. After that We delete the Client records and the other Practice Data held in the Application, and return or destroy protected health information as the BAA requires, except where the law or Our agreement with You requires Us to keep it for longer. Sections that by their nature should survive — ownership of data, confidentiality, limitation of liability, indemnification, governing law — survive termination.
Limitation of liability
Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of these Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You to the Company in the twelve months before the event giving rise to the claim, or 100 USD if You have not paid anything.
To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of these Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
These limits do not apply to a party’s indemnification obligations, to a breach of the Confidentialitysection, to the Company’s obligations under the BAA to the extent the BAA says otherwise, or to liability that cannot be limited by law, such as for gross negligence or wilful misconduct.
Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party’s liability will be limited to the greatest extent permitted by law.
Indemnification
By You.You will defend, indemnify and hold harmless the Company and its officers, directors, employees and agents from any claim, loss, liability, damage, cost and expense (including reasonable attorneys’ fees) arising from: Practice Data; the treatments You perform and the clinical decisions You make; Messages You send and the consents You did or did not obtain for them; Your breach of these Terms or of a law that applies to Your Practice; or the acts of Your Authorized Users.
By Us.We will defend, indemnify and hold You harmless from any third-party claim that the Service, as We provide it and as You use it under these Terms, infringes that third party’s intellectual property rights, and We will pay the damages and costs finally awarded or agreed in settlement. This does not cover a claim arising from Practice Data, from Your use of the Service in breach of these Terms, or from a combination of the Service with something We did not supply. If such a claim is made or likely, We may modify the Service to avoid it, obtain a licence, or, if neither is commercially reasonable, terminate Your Subscription and refund prepaid fees for the unused term.
The indemnified party gives prompt notice of the claim, lets the indemnifying party control the defence and settlement (but no settlement that admits fault on the indemnified party’s behalf without its consent), and gives reasonable help at the indemnifying party’s expense.
“AS IS” and “AS AVAILABLE” disclaimer
The Service is provided to You “AS IS” and “AS AVAILABLE” and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its Affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the Service, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind that the Service will meet Your requirements, achieve any intended results, be compatible or work with any other software, applications, systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.
Without limiting the foregoing, neither the Company nor any of the company’s provider makes any representation or warranty of any kind, express or implied: (i) as to the operation or availability of the Service, or the information, content, and materials or products included thereon; (ii) that the Service will be uninterrupted or error-free; (iii) as to the accuracy, reliability, or currency of any information or content provided through the Service; or (iv) that the Service, its servers, the content, or e-mails sent from or on behalf of the Company are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.
Some jurisdictions do not allow the exclusion of certain types of warranties or limitations on applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to You. But in such a case the exclusions and limitations set forth in this section shall be applied to the greatest extent enforceable under applicable law.
Governing law
The laws of the Country/State, excluding its conflicts of law rules, shall govern these Terms and Your use of the Service. Your use of the Service may also be subject to other local, state, national, or international laws.
Disputes resolution
If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company. If it is not resolved within 30 days, either party may bring it in the state or federal courts located in the Commonwealth of Massachusetts, and each party submits to the exclusive jurisdiction of those courts. Either party may seek an injunction in any court to protect its intellectual property or confidential information.
For European Union (EU) users
If You are a European Union consumer, you will benefit from any mandatory provisions of the law of the country in which You are resident.
United States federal government end use provisions
If You are a U.S. federal government end user, Our Service is a “Commercial Item” as that term is defined at 48 C.F.R. §2.101.
United States legal compliance
You represent and warrant that (i) You are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a “terrorist supporting” country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.
General
Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
Waiver
Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party’s ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.
Assignment
You may not assign these Terms without Our written consent, except to a successor to Your Practice that agrees to them. We may assign them to an Affiliate or to a successor to Our business, and We tell You when We do.
Force majeure
Neither party is liable for a failure caused by something beyond its reasonable control, such as a natural disaster, a failure of a carrier or the internet, or an act of government, except for an obligation to pay.
Notices
We give You notice by email to the address on Your Account or in the Application. You give Us notice by email to the address below, and a notice of a legal claim also by post to Our address below.
Entire agreement
These Terms, with the Privacy Policy, the DPA and the BAA, are the entire agreement between You and the Company about the Service and replace any earlier one. Terms on a purchase order or similar document of Yours do not apply.
Translation interpretation
These Terms and Conditions may have been translated if We have made them available to You on Our Service. You agree that the original English text shall prevail in the case of a dispute.
Changes to these Terms
We reserve the right, at Our sole discretion, to modify or replace these Terms at any time. If a revision is material We will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at Our sole discretion. A change to the DPA or the BAA is made as those documents provide.
By continuing to access or use Our Service after those revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the Service and close Your Account as the Termination section describes.
